FREE WYCKOFFS LLC - TERMS AND CONDITIONS

I. TERMS OF SERVICE

PLEASE READ THE FOLLOWING TERMS OF THIS SERVICE AGREEMENT ("AGREEMENT") CAREFULLY. BY ACCESSING OR USING OUR WEBSITE, INCLUDING OUR DISCORD SERVER, (TOGETHER, THE "SITE") OR ANY OF OUR SERVICES ("SERVICES"), YOU HEREBY ACKNOWLEDGE AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS ("TERMS") AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IT IS YOUR RESPONSIBILITY TO READ THE TERMS BEFORE PROCEEDING TO USE THE SITE. IF YOU DO NOT EXPRESSLY AGREE TO ALL OF THE TERMS, PLEASE DO NOT ACCESS OR USE OUR SITE OR OUR SERVICES.

The Terms described herein is a legal agreement between you and Free Wyckoffs LLC, a limited liability company organized and existing under California law. In these Terms, "Free Wyckoffs", "we", and "us" refers to Free Wyckoffs LLC, including, but not limited to, our Site, social media channel (e.g., Twitter account), newsletters or other fora that we operate, and "You" refers to the individual or company that uses, participates, follows, or otherwise contributes to Free Wyckoffs. By participating in Free Wyckoffs, by becoming a member, user, subscriber, follower, viewer or other fora participant (each a "User") of Free Wyckoffs, including, but not limited, to our Site, products and Services, or other fora that we operate, you acknowledge and agree that these Terms are a binding contract between you and Free Wyckoffs.

The Site, including, but not limited to, products and Services, discussion forums or other fora that we operate, is intended solely for entertainment and informational purposes. Free Wyckoffs does not give investing or trading advice. We publish our own opinions and ideas, and certain third-party opinions and ideas, on securities, investments and trading as we choose in our sole discretion. The information in our or third-party opinions, posts, articles, ideas, pictures, graphics or charts are for entertainment and informational purposes only. Investments or information/strategies mentioned on the Site, including any charts or materials, do not take into consideration a User's investment goals, financial goals, or financial situation and may not be suitable for any User. Each User must manage their account based on their own financial goals.

Any new features or tools which are added to the current Site shall also be subject to the Terms. We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to our Site.

II. General Terms of Service

A breach or violation of any of the Terms may result in an immediate termination of your account and right to use our products and Services, in our sole discretion.

We have the right, but not the obligation, to take any of the following actions in our sole discretion at any time and for any reason without giving you any prior notice:

  1. Restrict, suspend or terminate your access to all or any part of our Site.
  2. Change, suspend or discontinue all or any part of our products and Services or Site.
  3. Refuse, move, or remove any content that is available on all or any part of our Site.
  4. Deactivate or delete your account(s).
  5. Establish general practices and limits concerning use of our Site.

You acknowledge and agree that we will not be liable to you or any third party for taking any of these actions.

You acknowledge and agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Site, use of the Site, or access to the Site or any contact on the Site, without express written permission by us.

You may not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit for financial gain any of the content, in whole or in part, found on the Site. Free Wyckoffs' content is not for resale. Use of the Site does not entitle Users to make any unauthorized use of any of our or third-party protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of Free Wyckoffs and the copyright owner. You acknowledge and agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of Free Wyckoffs or our licensors except as expressly authorized by these Terms. You must not transmit any worms or viruses or any code of a destructive nature.

Trading does involve risk, so caution must always be utilized. We cannot guarantee profits or freedom from loss. You assume the entire cost and risk of any trading you choose to undertake. You are solely responsible for making your own investment decisions. Free Wyckoffs, its representatives, its principals, its moderators, and its members, are NOT registered as securities broker-dealers or investment advisors either with the U.S. Securities and Exchange Commission or with any state securities regulatory authority. By providing information to Free Wyckoffs, you give permission to Free Wyckoffs, our moderators, officers, agents, employees, successors, and assigns to use the information you provided for any purpose including, but not limited to, the creation of podcasts, written articles, and other intellectual property in any medium or format. Free Wyckoffs shall have sole ownership of any intellectual property created based on the information that you provide us.

By submitting any post, message or other information to Free Wyckoffs, you acknowledge and agree that you have authority to submit this information and that the post, message or other information is not subject to copyright nor violates any law. You will be personally responsible for any liability arising from your post, message or other information and acknowledge and agree to fully indemnify us in the event that we are found liable for a post, message or other information provided by you.

Unless expressly authorized by Free Wyckoffs, Users on our Site or other fora that we operate shall not and may not solicit other members, users, subscribers, followers, and other fora participants for any reason whatsoever.

No User or other fora participant may contact or obtain the information or data about any other user, subscriber, follower or other fora participant for any marketing or business purpose, including, but not limited to, any effort to "scrape" or otherwise collect the names of our members, users, subscribers, followers or other fora participant for any business or non-business purpose.

We may suspend a User or other fora participant for any reason and for no reason at all, to the extent permitted by law.

V. No Representations or Warranties

Free Wyckoffs makes no representation, warranties, or promises about the accuracy, reliability, completeness, currentness or timeliness of any information or forum discussion that may be held on Free Wyckoffs, other fora that we operate, or other media in any format.

VI. Performance

You acknowledge and agree that there is no guarantee that any prior success or past results regarding investments, trading, earnings or income by Free Wyckoffs or any of its affiliates are an indication of your future success, returns, earnings, income or results. Any form of data or information appearing on the Site that may represent a performance record is not an indication or correlated with any results Users can achieve within their own portfolio. Free Wyckoffs is for informational, educational, and entertainment purposes only. Each User must be aware of the inherent risks with trading securities.

VII. Third-Party Websites

Free Wyckoffs uses and posts information and hyperlinks to other websites, that may contain articles, photographs, text, graphics, pictures, charts, advertising, sponsorships or other information, not maintained, controlled or hosted by Free Wyckoffs. Free Wyckoffs receives paid commissions for posts and hyperlinks to other websites, including, but not limited to, Bookmap®, BingX, TradingView and YouTube. You acknowledge and agree that Free Wyckoffs shall not be responsible or liable, directly or indirectly, for any such damage or loss which may be a result of, caused or allegedly to be caused by or in connection with the use of or the reliance on any such content, products or services made available on or via any such third-party websites.

We make no representations or warranties about the accuracy, reliability, completeness, currentness or timeliness of those third-party websites. We do not endorse nor are we responsible or liable for any content, products, advertising or any other material available on third-party websites. The information you submit at a third-party site accessible via Free Wyckoffs is subject to the terms and conditions of such website's privacy policy. We have no control or input regarding your information, including, but not limited to, how such information is collected, used, or otherwise managed by a third-party website.

VIII. Subscription Agreement

The monthly subscription fee provides access to the Free Wyckoffs Site. The information provided on Free Wyckoffs is for informational, educational and entertainment purposes only. As a User, you acknowledge and agree that signing up for Free Wyckoffs paid service or using the Free Wyckoffs Site, including, but not limited to, our products and Services, does not guarantee success or results. You acknowledge and agree that any use of any information provided by Free Wyckoffs paid products and Services is at your own discretion and risk and that you are solely responsible for your own decisions.

You acknowledge and agree that your Free Wyckoffs account is non-transferrable. Users may not forward Free Wyckoffs emails, newsletters, other communications or messages and the sharing of accounts and passwords is strictly prohibited.

IX. Indemnity

All Users acknowledge and agree to insure and hold Free Wyckoffs, our subsidiaries, representatives, affiliates, agents, employees, officers, partners and/or licensees ("Indemnified Parties") blameless or not liable for any claim or demand, including those which may arise from any content a member, user, subscriber, follower or other fora participant of our Site, or our products and Services may submit, post, modify, transmit or otherwise make available through the Site. In no event shall any of the Indemnified Parties be liable for any damages (including, but not limited to, lost profits) resulting from the information provided by Free Wyckoffs or posted on the Free Wyckoffs forum. By participating in the Site, including by reading, following or otherwise contributing to our forum, you acknowledge and agree to resolve any dispute between yourself and Free Wyckoffs, its moderators, its posters, its officers, its agents, its employees, its successors, and its assigns at binding arbitration before the American Arbitration Association within the State of California. Each party shall bear its own legal fees, and shall split arbitration fees, if any, 50/50. The parties' intent is that any dispute between themselves be resolved solely at binding arbitration and the arbitration is not merely a condition precedent for filing a lawsuit. In the event that a party does not participate or appear in the arbitration, the arbitrators are authorized to issue an award in default and without the presence of the non-appearing and/or non-participating party.

X. Release

You acknowledge and agree to release Free Wyckoffs and our subsidiaries, representatives, affiliates, agents, employees, officers, partners and/or licensees from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected or unsuspected, disclosed and undisclosed, arising out of or in any way connected to such dispute.

XI. Termination

You may cancel or terminate your account, associated email address and/or access to our products and Services by submitting a cancellation or termination request to our third-party billing and subscription service provider (MEE6).

You also acknowledge and agree that Free Wyckoffs may, without any prior written notice, immediately suspend, terminate, discontinue and/or limit your account, any email address associated with your account, and access to any of our products and Services. The cause for such termination, discontinuance, suspension and/or limitation of access shall include, but is not limited to:

  1. Any breach or violation of these Terms or any other incorporated agreement, regulation and/or guideline.
  2. By way of requests from law enforcement or any other governmental agencies.
  3. The discontinuance, alteration and/or material modification to our products and Services, or any part thereof.
  4. Unexpected technical or security issues and/or problems.
  5. Any extended periods of inactivity.
  6. Any engagement by you in any fraudulent or illegal activities.
  7. The nonpayment of any associated fees that may be owed by you in connection with your Free Wyckoffs account.

You also acknowledge and agree that any and all terminations, suspensions, discontinuances, and or limitations of access for cause shall be made at our sole discretion and that we shall not be liable to you or any other third party with regards to the termination of your account, associated email address and/or access to any of our products and Services.

The termination of your account with Free Wyckoffs includes, but is not limited to, any and/or all of the following:

  1. The removal of any access to all or part of our products and Services offered within Free Wyckoffs, including our Site, our social media channel or other fora that we operate.
  2. The deletion of your password and any and all related information, files, and any such content that may be associated with or inside your account, or any part thereof.
  3. The barring of any further use of all or part of our products and Services.

XII. Errors, Inaccuracies and Omissions

There may be information on our Site that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on Free Wyckoffs, including our products and Services, is inaccurate at any time without prior notice (including after you have submitted your payment).

We undertake no obligation to update, amend or clarify information on our Site, including but not limited to, pricing information, except as required by law. No specified update or refresh date applied on our Site, should be taken to indicate that all information on our Site has been modified or updated.

XIII. Miscellaneous

These Terms govern the use of Free Wyckoffs, our Site, including, but not limited to, our products and Services, and any other related agreement(s) or legal relationship(s) between you and Free Wyckoffs, including, but not limited to, the owner of Free Wyckoffs, in a legally binding manner. Capitalized words are defined in the relevant dedicated section of this Agreement.

The User must read this Agreement carefully.
